Prepare an actionable tax-compliance review pack for a mainland China ecommerce business
Connect verified facts, evidence gaps, professional decisions and closure records in a mainland China ecommerce tax review.
A useful self-review should tell the next person what is in question, what has been established, what is missing, who should act and what evidence will close the issue. Labels such as “revenue risk” or “non-compliant invoices” leave the next reviewer to start gathering facts again.
This guide is for owners and finance staff of mainland China ecommerce businesses. It suggests a way to organize work; it is not a tax authority’s prescribed form or an assurance that a completed checklist proves compliance. Mainland entities with domestic or foreign investors must start with their own transactions and applicable rules. Overseas entities and local obligations require separate assessment.
Put the scope on one page
Identify the legal entity, stores and platforms, business period, taxes involved and question to resolve. For example: “Reconcile this quarter’s marketplace settlements with the accounts and identify missing evidence or matters requiring professional judgment.” A settlement reconciliation does not establish company-wide tax compliance.
Include taxpayer status, accounting framework, operating locations, transaction types, currency and business-time definitions where relevant. Reuse established facts. Mark uncertainty explicitly rather than inferring an entity’s position from its store name, receiving account or foreign ownership.
Articles 19 and 25 of China’s Tax Collection and Administration Law address accounting records supported by valid evidence and truthful returns within applicable deadlines. An internal review timetable does not change those deadlines. Read the government-published law.
Connect documents to the actual question
Link orders, refunds, settlements, bank records, invoices, contracts, accounting entries and filed returns as needed for the issue. Starting work does not require every conceivable document. Preserve each original export and record its source, entity and store, covered period, export date and filters. Cross-border information also needs currency and time definitions.
Deduplication, revised field interpretation and explanatory adjustments must remain traceable to the original records. Explain how later evidence affects earlier findings. An edited working spreadsheet must not be presented as an original document.
For platform tax information, check definitions and periods first. State Taxation Administration Announcement No. 15 of 2025 sets out reporting requirements for internet platform enterprises. Platform reporting is not evidence that an individual merchant has filed its own tax returns, and a difference between totals defined differently is not by itself proof of understated income. Read the announcement.
Keep six elements for each issue
A normal document or table is sufficient. The value lies in making work usable by the next person, rather than imposing a complicated form.
| Element | What to record |
|---|---|
| Issue and scope | The entity, period, store or transaction affected, and the discrepancy observed |
| Established facts | Verified relationships and amounts, with currency, tax basis and sources |
| Evidence and gaps | Supporting original records, missing documents and conflicting information |
| Pending judgment | The accounting or tax question, and the conditions needed to answer it |
| Next action and owner | Who supplies facts, who reviews treatment and when action is needed |
| Closure evidence | The evidence, supported treatment and completion records needed to close the issue |
Do not force an unverified tax amount, tax rate or risk score into the table. Mark amounts that remain unknown and explain which conclusions depend on them.
Three issues require different next steps
These are hypothetical examples of review wording, not customer cases or findings of wrongdoing.
| Observation | First action | Evidence needed for completion |
|---|---|---|
| The same order appears in two platform exports | Check coverage, record granularity and whether the rows describe different events, such as an order and its refund | Justified analytical deduplication, preserved originals and a reviewed scope and total |
| A refund in a later month links to its original order, but invoice treatment is unclear | Connect the order, refund and settlement events with the original invoice and any red-letter adjustment | Professional determination of affected periods and treatment, followed by records of required corrections |
| The names on a fee invoice, contract and payment differ | Establish the actual service, contractual relationship, payment arrangement and counterparty explanation | Verified facts and reviewed treatment, with genuine supporting corrections where required |
Refund timing, invoice treatment and return adjustments require their own facts and rules. A later-month refund alone does not determine which tax return period to adjust. Article 27 of the Invoice Administration Implementing Rules addresses red-letter electronic invoices, while Article 29 addresses inconsistencies between invoice content and actual business. Neither replaces investigating the facts behind different names. Read the current rules and amendment.
Correct data interpretation, establish business facts and resolve professional treatment as distinct tasks. They can progress together. Not every task has to wait for a tax adviser, and not every conclusion can be delegated to automatic processing.
Prioritize using real deadlines
Identify applicable filing deadlines, deadlines in tax authority notices, payment decisions and other concrete timing requirements. Then consider the affected scope and evidence gaps. Do not invent one “self-review remediation deadline” for every business.
Owners decide material matters and allocate resources. Operating staff establish transactions. Finance or tax professionals assess applicable rules and treatment. AI can assist with organization, linkage, discrepancy analysis and working materials, subject to the capabilities actually verified.
Where documents are incomplete, distinguish work that can proceed from obligations still due. An internal pending item does not grant a filing extension. When seeking clarification from the competent tax authority, present specific facts and questions, and retain the date, scope and any subsequent formal requirements of the response.
Close issues against evidence of action
“Documents uploaded,” “adviser replied” and “issue resolved” describe different states. Check whether the decision has been implemented in relevant accounting, invoice or return treatment. Where a correction or filing is required, retain its records and receipt. If the assignment only covers preparing facts, record “evidence prepared; professional treatment pending” rather than claiming full compliance.
Preserve the original facts, reasons for changes, adopted basis and unresolved matters. When new evidence changes the conclusion, update the issue and affected work. A polished report alone does not remove a risk.
The official sources above were checked on 2 November 2026. Application still depends on the entity, location, period, transactions and rules then in effect.
