  • Business license (营业执照) — original and copy, with the official seal.
  • Articles of association (公司章程) — filed with the market regulation department.
  • Foreign parent's certificate of incorporation — usually notarized and apostilled/legalized, plus a Chinese translation.
  • ID of the legal representative (法定代表人) — passport for foreigners, national ID for Chinese nationals; the legal representative must be physically present at the bank for the opening.
  • IDs and specimen signatures of directors and senior officers — usually the legal representative plus at least one finance contact.
  • Registered address proof (注册地址证明) — lease agreement or property certificate matching the address on the business license.
  • Tax registration confirmation (税务登记) — usually auto-issued; bring the latest tax bureau notice.
  • Beneficial-ownership declaration — listing every natural person holding 25% or more of the foreign parent, with IDs.
  • Business scope and a one-page business plan — describing the WFOE's main activity, expected counterparties and projected first-year transaction profile.
  • Bank account opening application form — the bank's own format, signed by the legal representative and chop-stamped.

The legal representative's physical presence is the single most common reason an opening is delayed. If the legal representative is overseas, some banks will accept a notarized power of attorney and a designated proxy; others will not.

  4. "How will FX conversion and profit repatriation be handled?" — they want to understand whether the WFOE will route through SAFE and through which bank.
  5. "Will the WFOE pay overseas service fees or royalties to the parent?" — they want to flag related-party flows that need supporting contracts and tax clearance.
  6. "What is the source of the first deposit?" — they will trace the inbound remittance to its origin bank and confirm supporting documents.

Vague or evasive answers typically lead to a request for more documents or, in the worst case, a quiet rejection.

5. Realistic timeline and what to expect

Most branches quote 2–4 weeks for the basic account, but the realistic end-to-end range is 3–6 weeks including document preparation and re-visits. The capital account activation takes longer because SAFE must register the WFOE's capital account information (FDI registration) before any inbound capital can be wired in; this adds 1–3 weeks on top of the bank process.

After the basic account is open, banks often impose a "watch period" of 60–180 days during which large or unusual transactions are flagged. Founders who anticipate a big inbound remittance in week one should flag it in advance and bring the supporting contract to the first branch visit.

6. Account management after opening

Opening the account is not the end of the work. Banks re-review corporate accounts annually and may request updated KYC documents, confirmation of the registered address and proof of recent activity. Inactive accounts can be frozen or downgraded to a dormant status, which complicates payroll and supplier payments. A simple internal rule — at least one transaction per quarter on every active account — keeps the relationship warm.

FX conversion between the capital account and the basic RMB account, or between the FX settlement account and the basic RMB account, requires the WFOE to submit supporting documents (contracts, fapiao, board resolutions) to the bank.
